COMPLIANCE BOARD

The Compliance Board is an independent oversight body established under the SUTA Bylaws to help ensure transparency, accountability, and adherence to the Association's governing documents. It monitors organizational compliance, reviews governance matters, and provides recommendations that support responsible leadership and the long-term integrity of SUTA.

Meet the Compliance Board

The Compliance Board is an independent oversight body elected by SUTA members to help ensure transparency, accountability, and adherence to the Association's Bylaws, Guidelines, and governance policies. The Board monitors organizational compliance, reviews governance matters, and provides recommendations to the Board of Directors.

Compliance Board Responsibilities

The Compliance Board safeguards SUTA's governance by ensuring accountability, transparency, and adherence to the Association's governing documents.

Governance Monitoring

Monitor the Association's operations to ensure compliance with the Bylaws, Guidelines, and approved policies.

Financial Oversight

Audit the organization's financial activities and review compliance with financial governance practices.

Annual Reporting

Prepare and present an annual Compliance Board report during the Annual General Assembly.

Elections & Assemblies

Observe General Assemblies and election processes to help ensure fairness and transparency.

Conflict Resolution

Review complaints, investigate governance issues, and recommend appropriate resolutions.

Special General Assembly

Request a Special General Assembly whenever circumstances require additional oversight.

Background — Article 10 of the SUTA Bylaws

The Compliance Board is established under Article 10 of the SUTA Bylaws as an independent oversight body responsible for monitoring governance, transparency, and compliance across the Association.

  • Members are elected by the Association's eligible members for a two-year term.
  • The Board operates independently and has no executive authority.
  • Its recommendations are submitted to the Board of Directors for implementation.
  • Members must satisfy eligibility requirements defined in the SUTA Bylaws.
  • The Board protects transparency, accountability, and organizational integrity.
